Menu Zaddy — Terms and Conditions

1. Agreement to Terms

By placing an order with Menu Zaddy ("Company," "we," "us," "our"), you ("Customer," "you," "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Menu Zaddy. If you do not agree to these Terms, do not place an order.

These Terms apply to all orders placed through menuzaddy.com or any other ordering method offered by Menu Zaddy, including but not limited to phone, email, and direct sales.

2. Definitions

"Order" means any request to purchase products submitted by Customer through Menu Zaddy's ordering process.

"Products" means waterproof menus printed on synthetic paper (polypropylene-based substrate), including all size, format, finish, and quantity configurations offered by Menu Zaddy.

"Proof" means the digital preview of the Customer's order provided by Menu Zaddy for Customer review and approval prior to production.

"Artwork" means any files, images, text, logos, designs, or other content submitted by the Customer for printing.

"Production" means the process of printing, finishing, and preparing Products for shipment after Proof approval.

3. Products and Services

3.1 Product Scope

Menu Zaddy manufactures and sells waterproof menus printed on synthetic paper. All Products are printed on polypropylene-based synthetic substrates. Menu Zaddy does not sell paper menus, laminated menus, or any non-synthetic menu products.

3.2 No Design Services

Menu Zaddy is a printing company. We do not provide graphic design, layout, typesetting, copywriting, or content creation services. The Customer is solely responsible for the content, design, layout, accuracy, and completeness of all Artwork submitted for printing.

Menu Zaddy may offer basic file preparation or formatting adjustments at its sole discretion, but any such assistance does not constitute a design service and does not transfer responsibility for content accuracy to Menu Zaddy.

3.3 Use of Menu Photos in Our Marketing

When you order from MenuZaddy, you grant us a non-exclusive, royalty-free, worldwide license to photograph and share images and videos of the menus we print for you. This includes use on our website, social media accounts (such as Instagram, Facebook, TikTok, and LinkedIn), advertising, email marketing, and other promotional materials. These images may show anything that appears on the printed piece, including your menu design, restaurant name, logo, branding, and menu content.

We share these images to showcase our print quality and the work we do for restaurants like yours.

How to opt out: If you do not want your menus featured, email us at help@menuzaddy.com before your order is placed.

4. Orders and Payment

4.1 Order Acceptance

All orders are subject to acceptance by Menu Zaddy. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to orders that contain content we deem offensive, infringing, illegal, or otherwise objectionable.

4.2 Pricing

All prices are listed in U.S. dollars. Prices are subject to change without prior notice. In the event of a pricing error on our website or in any communication, Menu Zaddy reserves the right to correct the error and adjust the order total, or to cancel the order and issue a refund of any amount paid. A confirmed order at an incorrect price does not obligate Menu Zaddy to fulfill the order at the erroneous price.

4.3 Payment

Payment in full is required at the time of order placement unless otherwise agreed in writing. Menu Zaddy accepts the payment methods listed on our website. Orders will not enter the Proofing process until payment has been received and verified.

4.4 Taxes

Applicable sales taxes will be added to the order total based on the shipping destination. The Customer is responsible for all applicable taxes, duties, and fees.

4.5 Quantity Tolerances

Commercial printing is subject to industry-standard quantity tolerances of plus or minus ten percent (+/- 10%) of the ordered quantity. Menu Zaddy may deliver up to 10% more or 10% fewer units than the quantity ordered. The final invoice will reflect the actual quantity produced if it differs from the original order. Delivery within this tolerance range constitutes fulfillment of the order.

5. Proofing Process and Customer Approval

5.1 Proofing Stage

After an order is placed and payment is received, Menu Zaddy will provide the Customer with a digital Proof for review. The Proof is the Customer's opportunity to verify content, layout, spelling, grammar, pricing, item descriptions, and overall accuracy before Production begins.

5.2 Customer Responsibility During Proofing

The Customer is solely responsible for thoroughly reviewing the Proof. This review includes but is not limited to:

  • All text, including menu item names, descriptions, and pricing
  • Spelling, grammar, and punctuation
  • Layout, formatting, and positioning of all elements
  • Image placement and orientation
  • Contact information, addresses, and phone numbers
  • Legal notices, allergen warnings, and regulatory disclosures
  • Overall accuracy and completeness of all content

Menu Zaddy does not proofread, fact-check, or verify the accuracy of Customer-provided content. Any errors present in the Artwork or introduced by the Customer during the Proofing process are the Customer's responsibility.

5.3 Proof Approval

By approving the Proof, the Customer authorizes Menu Zaddy to proceed with Production exactly as shown in the approved Proof. Proof approval is final. Once the Customer approves the Proof, no changes, corrections, or modifications can be made.

Proof approval constitutes the Customer's binding confirmation that the content is accurate, complete, and ready for Production. Menu Zaddy is not liable for any errors, omissions, or inaccuracies present in the approved Proof, regardless of whether the Customer noticed them during review.

5.4 Failure to Respond

If the Customer does not respond to the Proof within [NUMBER] business days, Menu Zaddy reserves the right to either (a) proceed with Production based on the most recent Proof, or (b) cancel the order. Menu Zaddy is not responsible for production delays caused by Customer's failure to review or approve the Proof in a timely manner.

6. No Refund Policy

6.1 All Sales Are Final

All sales are final. Menu Zaddy does not offer refunds, returns, exchanges, or credits for any reason, except as required by applicable law.

This no-refund policy applies to, without limitation:

  • Customer errors, including but not limited to typos, misspellings, incorrect pricing, incorrect phone numbers, missing items, incorrect addresses, or any other content inaccuracies present in the approved Proof
  • Change of mind, buyer's remorse, or dissatisfaction with a purchase decision after Proof approval
  • Dissatisfaction with color, finish, or appearance when the Product matches the approved Proof within standard print tolerances (see Section 8.3)
  • Ordering errors, including incorrect quantity, size, format, or finish selections made by the Customer
  • Delays caused by shipping carriers (see Section 7)
  • Normal wear and aging of Products over time (see Section 8)
  • Damage resulting from improper use, handling, storage, or cleaning (see Section 9)

6.2 Customer Errors

Menu Zaddy does not provide refunds, reprints, or credits for errors originating from Customer-submitted Artwork or Customer-approved Proofs. Because Menu Zaddy does not provide design services, and because the Proofing process exists specifically for Customer verification, the Customer bears full responsibility for the accuracy of all content at the point of Proof approval.

6.3 Defective Products

If a Product arrives with a manufacturing defect (a defect originating from Menu Zaddy's printing or finishing process, not from Customer-provided Artwork or an approved Proof), the Customer must notify Menu Zaddy within seven (7) calendar days of delivery, with photographs clearly documenting the defect. Menu Zaddy will evaluate the claim and, at its sole discretion, may offer a reprint of the defective units. Manufacturing defects do not include color variation within standard print tolerances, minor finishing inconsistencies inherent to the printing process, or any condition resulting from the Customer's handling, use, or storage of the Product after delivery.

6.4 No Chargebacks

By placing an order, the Customer agrees that filing a chargeback or payment dispute with their payment provider, bank, or credit card company does not constitute a valid refund claim and is a violation of these Terms. Menu Zaddy reserves the right to pursue collection of any amounts owed, including costs associated with chargeback disputes, to the fullest extent permitted by law.

7. Shipping and Delivery

7.1 Shipping Methods and Costs

Shipping costs are calculated at checkout based on order size, weight, and destination. Menu Zaddy ships via carriers of its choosing. Expedited shipping options, if available, are subject to additional charges.

7.2 Production and Delivery Timelines

Production timelines provided on our website or in order confirmations are estimates, not guarantees. Production begins after Proof approval. Menu Zaddy is not liable for delays caused by Customer's failure to approve the Proof, carrier delays, weather, natural disasters, supply chain disruptions, or other circumstances beyond our reasonable control.

7.3 Risk of Loss

Title to and risk of loss for all Products passes to the Customer upon delivery to the shipping carrier. Menu Zaddy is not responsible for loss, theft, damage, or delay that occurs after the Products have been tendered to the carrier.

7.4 Shipping Damage Claims

If Products arrive visibly damaged due to carrier handling, the Customer should document the damage with photographs immediately upon receipt and file a claim directly with the shipping carrier. Menu Zaddy may, at its sole discretion, assist the Customer in the claims process but is not obligated to do so and is not responsible for carrier-caused damage.

7.5 Incorrect Shipping Address

The Customer is responsible for providing an accurate and complete shipping address. Menu Zaddy is not responsible for orders shipped to incorrect addresses provided by the Customer. If a package is returned to Menu Zaddy due to an incorrect address, the Customer is responsible for additional shipping costs to reship the order.

8. Product Characteristics, Limitations, and Disclaimers

8.1 Waterproof Claims

Menu Zaddy's Products are printed on synthetic paper (polypropylene-based substrate) that is inherently resistant to water, moisture, and common liquid spills encountered in restaurant service environments. "Waterproof" describes the substrate's resistance to water penetration and water damage under normal restaurant use conditions.

"Waterproof" does not mean:

  • Impervious to all liquids under all conditions, concentrations, durations, or temperatures
  • Resistant to chemical solvents, industrial cleaners, bleach solutions, acetone, alcohol-based sanitizers at full concentration, or other harsh chemicals
  • Resistant to prolonged submersion or pressure washing
  • Immune to staining from highly pigmented substances (e.g., turmeric, beet juice, red wine, certain sauces) if not cleaned promptly
  • Impervious to damage from abrasive scrubbing, steel wool, scouring pads, or abrasive cleaning tools

The waterproof properties of our Products apply to the synthetic substrate material. Print adhesion, surface coating durability, and ink performance may be affected by chemical exposure, abrasive contact, extreme temperatures, or prolonged UV exposure independent of the substrate's water resistance.

8.2 Product Aging and Lifespan

All printed materials, including synthetic waterproof menus, are subject to aging and wear over time. Menu Zaddy does not make specific lifespan claims or guarantees regarding how long any Product will maintain its original appearance or condition.

Factors that affect Product aging include but are not limited to:

  • Frequency and intensity of use
  • Handling conditions (kitchen environment, front-of-house, outdoor/patio use)
  • Exposure to ultraviolet (UV) light and direct sunlight
  • Cleaning methods and products used
  • Exposure to heat sources (heat lamps, grills, warming stations, direct flame proximity)
  • Contact with oils, greases, sauces, and other food substances
  • Storage conditions when not in use
  • Environmental factors (humidity, temperature extremes, salt air)

Visible signs of aging, including but not limited to gradual color fading, minor surface scuffing, edge wear, and fingerprint accumulation, are normal and expected over time and do not constitute a product defect.

8.3 Color Accuracy and Print Variation

Colors displayed on computer monitors, mobile devices, and tablet screens vary significantly based on display technology, calibration, brightness settings, and ambient lighting. The digital Proof is intended for content and layout verification, not for exact color matching.

Menu Zaddy strives for color consistency but does not guarantee exact color matches between:

  • The digital Proof and the printed Product
  • The printed Product and any previously printed order (including reorders)
  • Different units within the same print run
  • The Customer's reference materials (business cards, signage, brand guidelines) and the printed Product

Slight variations in color, density, and finish between print runs, within a print run, and between digital previews and printed output are inherent to the commercial printing process and do not constitute a defect or grounds for a claim.

If exact color matching is critical, the Customer should request a physical color proof or printed sample prior to placing a full production order. Additional charges may apply for physical proofs.

8.4 Material Properties

Synthetic paper (polypropylene) has physical properties that differ from traditional paper. The Customer acknowledges and accepts that:

  • The material has a different tactile feel than paper or laminated paper
  • The material may produce slight curling or bowing in certain temperature or humidity conditions
  • Certain writing instruments (ballpoint pens, permanent markers) may not write on or may not erase from the material surface
  • The material is tear-resistant but not tear-proof; extreme force, sharp objects, or intentional cutting can damage the product
  • The material is heat-sensitive; exposure to temperatures exceeding 200°F (93°C) may cause warping, distortion, or other damage
  • Static charge may cause individual sheets to cling together, particularly in low-humidity environments

These characteristics are inherent to synthetic paper and do not constitute defects.

8.5 UV and Outdoor Exposure

Products used outdoors or in areas with significant sunlight exposure (patios, sidewalk dining, window-adjacent tables) will experience accelerated fading and aging compared to Products used exclusively indoors. UV exposure degrades printed inks and surface coatings over time regardless of substrate material. Menu Zaddy does not guarantee any specific duration of color retention for Products used in outdoor or high-UV environments.

Customers using Products in outdoor environments should plan for more frequent replacement cycles.

9. Care and Maintenance Guidelines

The following guidelines are provided to help Customers maximize the usable life of their waterproof menus. Failure to follow these guidelines may result in accelerated wear, staining, or damage that is not covered under any warranty or defect claim.

9.1 Routine Cleaning

  • Wipe menus down with a soft, damp cloth after each table turn or at minimum at the end of each service period
  • Use a mild dish soap diluted in warm water for routine cleaning
  • Wipe in one direction rather than circular scrubbing motions to avoid surface micro-scratching
  • Dry menus with a clean, soft cloth after washing; do not allow soapy residue to dry on the surface

9.2 Stain Prevention

  • Clean spills as soon as possible; prompt cleaning is the single most effective way to prevent staining
  • Highly pigmented substances (turmeric, beet juice, red wine, soy sauce, hot sauce, mustard, berry-based sauces) can stain if allowed to sit on the surface; clean these immediately
  • Do not allow acidic substances (citrus juices, vinegar-based dressings, tomato-based sauces) to remain on the menu surface for extended periods
  • Grease and oil should be wiped away promptly; buildup over time can attract dirt and dull the surface finish

9.3 Cleaning Products to Avoid

  • Do not use bleach, undiluted chemical sanitizers, or industrial-strength degreasers on the menu surface
  • Do not use abrasive cleaners, scouring powders, or gritty cleaning compounds
  • Do not use acetone, paint thinner, rubbing alcohol at full concentration, or other chemical solvents
  • Do not use steel wool, scouring pads, abrasive sponges, or rough-textured cleaning tools
  • If using a sanitizing solution, dilute it to the manufacturer's recommended concentration for food-contact surfaces and wipe with a damp cloth afterward

9.4 Handling and Use

  • Do not crease, fold, or bend menus beyond their intended format; synthetic paper holds a crease permanently and cannot be unfolded to a flat state once creased
  • Do not use menus as cutting surfaces, trivets, or placemats for hot plates
  • Do not expose menus to direct flame, open heat sources, or place them on or near grills, burners, warming stations, or heat lamps
  • Do not stack heavy objects on top of menus for extended periods, which may cause permanent indentation or warping
  • Avoid writing on menus with ballpoint pens, permanent markers, or grease pencils unless the menu is specifically designed with a writable surface area

9.5 Storage

  • Store menus flat in a cool, dry location away from direct sunlight when not in use
  • Do not store menus in excessively hot environments (inside a closed vehicle in summer, near kitchen heat sources, in direct sun)
  • If menus develop static cling, separate them and allow them to acclimate to the environment before service
  • Rotate menu stock so the same units are not in continuous service while others remain in storage

9.6 Outdoor and Patio Use

  • Menus used outdoors will experience faster fading and aging due to UV exposure; this is expected and is not a defect
  • Bring outdoor menus inside or store them in a shaded container when not in active use during service
  • Outdoor menus exposed to rain, humidity, or temperature swings should be dried and cleaned before storage
  • Plan for more frequent replacement of outdoor menus compared to indoor-only menus

10. Artwork and Intellectual Property

10.1 Customer Ownership and Responsibility

The Customer represents and warrants that they own or have obtained all necessary rights, licenses, and permissions for all Artwork submitted to Menu Zaddy for printing, including but not limited to text, images, photographs, logos, trademarks, brand elements, and any other content.

10.2 Infringing Content

Menu Zaddy does not review, verify, or assess the intellectual property status of Customer-submitted Artwork. The Customer is solely responsible for ensuring that their Artwork does not infringe upon the copyrights, trademarks, trade dress, or other intellectual property rights of any third party.

10.3 Indemnification for IP Claims

The Customer agrees to indemnify, defend, and hold harmless Menu Zaddy, its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to any claim that the Customer's Artwork infringes upon the intellectual property rights of any third party.

10.4 Right to Refuse

Menu Zaddy reserves the right to refuse to print any Artwork that, in its sole judgment, may infringe upon the intellectual property rights of a third party, contains obscene, defamatory, or illegal content, or is otherwise objectionable.

10.5 Menu Zaddy Intellectual Property

All Menu Zaddy branding, trademarks, trade names, logos, website content, proprietary processes, and marketing materials are the exclusive property of Menu Zaddy. The Customer is not granted any rights to use Menu Zaddy's intellectual property without prior written consent.

11. Customer Data and File Retention

11.1 Artwork Storage

Menu Zaddy may retain Customer Artwork files for a period of [NUMBER] days following order fulfillment to facilitate potential reorders. After this retention period, files may be deleted without notice. Menu Zaddy is not responsible for long-term storage or archival of Customer files. Customers are responsible for maintaining their own copies of all original Artwork.

11.2 Data Use

Customer information collected during the ordering process (name, email, shipping address, payment information, order history) is used to process and fulfill orders, communicate about orders, and for internal business purposes. Customer information will not be sold to third parties. Please refer to our Privacy Policy at [URL] for complete details on data collection, use, and protection.

12. Order Cancellation

12.1 Cancellation Before Proof Approval

Customers may request cancellation of an order before the Proof has been approved. Menu Zaddy will make reasonable efforts to accommodate cancellation requests received before Production begins. An administrative fee of [AMOUNT OR PERCENTAGE] may be withheld from any amounts returned to the Customer for cancelled orders.

12.2 Cancellation After Proof Approval

Once the Customer has approved the Proof, the order is in Production or in the Production queue and cannot be cancelled. No refunds, credits, or cancellations will be issued for orders that have received Proof approval.

13. Limitation of Liability

13.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENU ZADDY'S TOTAL LIABILITY TO THE CUSTOMER FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO AN ORDER SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THAT SPECIFIC ORDER.

13.2 Exclusion of Consequential Damages

IN NO EVENT SHALL MENU ZADDY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, COST OF SUBSTITUTE GOODS, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING FROM OR RELATED TO THESE TERMS OR ANY ORDER, REGARDLESS OF WHETHER MENU ZADDY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This exclusion applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if any limited remedy set forth herein fails of its essential purpose.

13.3 Scope

The limitations in this Section 13 apply to all causes of action in the aggregate, including but not limited to breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and any other tort or statutory claims.

14. Warranty Disclaimer

MENU ZADDY'S PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENU ZADDY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, MENU ZADDY MAKES NO WARRANTY OR REPRESENTATION REGARDING THE DURABILITY, LIFESPAN, OR LONGEVITY OF ANY PRODUCT, THE SUITABILITY OF ANY PRODUCT FOR THE CUSTOMER'S SPECIFIC USE CASE OR ENVIRONMENT, THE COLOR ACCURACY OR CONSISTENCY OF ANY PRINTED OUTPUT, OR THE RESISTANCE OF ANY PRODUCT TO ANY SPECIFIC SUBSTANCE, CHEMICAL, TEMPERATURE, OR ENVIRONMENTAL CONDITION.

15. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Menu Zaddy, its owners, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) the Customer's use of Products; (b) the Customer's breach of these Terms; (c) the Customer's Artwork or any content submitted for printing; (d) any claim that the Customer's Artwork infringes upon the rights of a third party; or (e) any claim by a third party related to the Customer's Products.

16. Food Contact and Regulatory Compliance

16.1 No Food Contact Certification

Unless explicitly stated otherwise for a specific product offering, Menu Zaddy's Products have not been tested or certified for direct food contact. Products are designed to be handled by restaurant patrons and staff as menus, not as food-contact surfaces, plates, placemats, food wraps, or food packaging.

16.2 Regulatory Compliance

The Customer is solely responsible for ensuring that their menu content complies with all applicable federal, state, and local regulations, including but not limited to menu labeling requirements, allergen disclosure laws, calorie disclosure mandates, truth-in-advertising laws, and any other regulatory requirements applicable to restaurant menus in the Customer's jurisdiction.

Menu Zaddy does not verify or ensure regulatory compliance of Customer-submitted content.

17. Force Majeure

Menu Zaddy shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, fires, floods, pandemics, epidemics, acts of war, terrorism, civil unrest, government actions or restrictions, supply chain disruptions, material shortages, equipment failures, utility outages, labor disputes, carrier delays, or any other event or circumstance beyond Menu Zaddy's reasonable control. In the event of a force majeure, Menu Zaddy's obligations shall be suspended for the duration of the event, and production and delivery timelines shall be extended accordingly.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles.

18.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered by [ARBITRATION BODY, e.g., the American Arbitration Association] in accordance with its Commercial Arbitration Rules. The arbitration shall take place in [CITY, STATE]. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

18.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CUSTOMER AGREES THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE CUSTOMER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

19. Modifications to Terms

Menu Zaddy reserves the right to modify, update, or revise these Terms at any time without prior notice. The most current version of these Terms will be posted on our website with the "Last Updated" date. Continued use of Menu Zaddy's services after any modification constitutes the Customer's acceptance of the revised Terms.

For orders placed prior to a modification, the Terms in effect at the time the order was placed shall apply to that order.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with any order confirmation and Privacy Policy, constitute the entire agreement between the Customer and Menu Zaddy with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20.3 Waiver

The failure of Menu Zaddy to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.

20.4 Assignment

The Customer may not assign or transfer any rights or obligations under these Terms without Menu Zaddy's prior written consent. Menu Zaddy may assign its rights and obligations under these Terms without restriction.
